Board: composition method of appointment and remuneration.
The board shall consist of three (3) natural persons:
- Ms. Petronella Lukkiena Johanna Smit, president.
- Main position - Retired.
- Additional position: president at Plant N Tree Foundation.
- Mr. Eloge-Kay Ayinkamiye, secretary.
- Main feature - Digital Performer at online ID.
- Additional position: secretary at Plant N Tree Foundation.
- Side note: Life Coach of young people at Best Life Church.
- Mr. Marius Jacobus Roelofsen, treasurer.
- Main position - Financial expert at life insurer a.s.r.
- Additional position: treasurer at Plant N Tree Foundation.
The directors have no relationship with each other.
- The board members are appointed by the board with unanimous votes at a meeting where all board members in office are present. The board shall appoint a chairman, secretary and treasurer from among its members. The functions of secretary and treasurer may be combined in one person.
- Directors are appointed for a term of three (3) years. A retiring director may be reappointed immediately and without limitation. Until the board appoints a successor director or reappoints the retiring director, the director's position shall not terminate by expiration of the term of office. The director appointed to an interim vacancy shall take the place of the person in whose vacancy he was appointed.
- The board shall prepare a profile for the size and composition of the board, taking into account the nature of the foundation, its activities and the desired expertise of the directors.
- Vacancies must be filled as soon as possible. If within six months after the occurrence of a vacancy the board position concerned has not been filled, the appointment may be made by the court in accordance with the provisions of Article 2:299 of the Civil Code. If and as long as the board consists of several members, the board shall appoint a chairman from among its members. In the event of one or more vacancies on the board, the board shall retain its powers.
- The directors do not receive any remuneration for their work. They are, however, entitled to reimbursement of expenses incurred in the performance of their duties.
